Terms of Access

1. Agreement to Terms

By accessing or using the websites, portals, or services of Strategic Supply Resilience LLC ("Company"), you agree to be bound by these Terms of Access. If you do not agree to these terms, you must not access or use our services. These terms constitute a legally binding agreement between you and the Company.

2. Governing Law and Jurisdiction

These Terms of Access and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the state and federal courts located in Wyoming for any legal proceedings arising from these terms.

3. Confidentiality and Non-Disclosure

All information, documents, and materials accessed through our platforms are confidential and proprietary. By accessing our services, you agree to:

• Maintain strict confidentiality of all information obtained
• Not disclose, publish, or distribute any information without prior written consent
• Use information solely for the purposes authorized by the Company
• Implement reasonable security measures to protect confidential information
• Promptly notify the Company of any unauthorized disclosure

Confidentiality obligations survive termination of access and remain in effect indefinitely or until information becomes publicly available through no fault of the recipient.

4. Dispute Resolution — Mandatory Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms of Access, or the breach, termination, or validity thereof, shall be resolved exclusively through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules.

• Arbitration shall be conducted in Cheyenne, Wyoming
• The arbitration shall be conducted by a single arbitrator
• The arbitrator's decision shall be final and binding
• Judgment on the award may be entered in any court of competent jurisdiction
• Each party shall bear its own costs; arbitration fees shall be shared equally

CLASS ACTION WAIVER: You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, collective action, or representative action.

5. Intellectual Property

All content, materials, trademarks, and intellectual property displayed or made available through our platforms remain the exclusive property of Strategic Supply Resilience LLC or its licensors. No license or right is granted except as expressly stated in these terms.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR ACCESS TO OR USE OF OUR SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESS TO OUR SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Export Compliance

You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to U.S. trade sanctions. You agree to comply with all applicable export control laws and regulations, including the Export Administration Regulations (EAR) and International Traffic in Arms Regulations (ITAR).

8. Termination

We reserve the right to terminate or suspend your access to our services at any time, with or without cause, and without prior notice. Upon termination, all confidentiality obligations and restrictions on use shall survive.

9. Modifications

We reserve the right to modify these Terms of Access at any time. Continued use of our services following any modifications constitutes acceptance of the updated terms. Material changes will be communicated through our portal notification system.

10. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
